The Case

One of the compliance matters handled by our team involved the conversion of a Limited Liability Company (LLC) into a Corporation. While entity conversions are not uncommon, this case involved additional complexities because all of the LLC's members were foreign owners.

Before the conversion could proceed, it was necessary to evaluate both the legal and tax implications of the restructuring. The entity was registered in multiple states, requiring careful consideration of state-specific legal requirements alongside the federal tax consequences of the conversion.

Our Approach

We first identified the legal requirements associated with the conversion and determined that the process would require coordination with a U.S. attorney experienced in the laws of the states where the entity was registered. The attorney would be responsible for preparing the necessary legal documentation.

In parallel, we reviewed the federal tax implications of the restructuring. This included determining how the entity's tax returns should be filed for the year of conversion, considering the period during which the business would be treated as an LLC and the subsequent period as a Corporation.

We also evaluated whether the conversion would require a new Employer Identification Number (EIN) or whether the existing EIN could be retained by notifying the Internal Revenue Service (IRS) of the change in the entity's legal and tax classification.

By assessing the legal and tax implications together, we were able to identify the key considerations that needed to be addressed before the conversion could move forward.
